Terms of Service

1. Agreement

These Terms of Service govern the use of Hypesoul (the "App"), operated by Kirill Novak s.r.o., Nad Dalejským údolím 2690/7, 155 00 Praha, Czech Republic ("we", "us"). By installing or using the App you ("merchant") agree to these Terms. If you do not agree, uninstall the App.

If you install the App on behalf of a company, you confirm that you are authorised to bind that company.

2. What the App does

The App helps a Shopify store run its own affiliate program. It lets you add partners, generates a unique discount code and a tracking link for each partner, records clicks and orders that use those links or codes, and calculates the commission owed to the partner and the service fee owed to us.

The App records and calculates. It does not transfer money: payouts to partners are made by the merchant, and the App only keeps a record of what has been paid.

3. Subscription, fees and billing

• The App costs €1 per month plus a 2% service fee on every order placed through a partner link or partner discount code, calculated on the merchandise total after discount, excluding shipping and taxes.
• The service fee is capped at €149 in each 30-day billing cycle. The cap, and the fee itself, are shown for approval in the Shopify billing screen.
• All charges are made through Shopify Billing and appear on your Shopify invoice. We never ask for card or bank details.
• Shopify may add its own transaction fees for app charges; those are set by Shopify, not by us.
• Prices are in euro. Applicable taxes may be added by Shopify depending on your location.
• We may change prices with at least 30 days' notice. Shopify asks you to approve new charges; if you do not approve, the App stops working and you can uninstall it.
• Uninstalling the App cancels future subscriptions. Fees already charged are not refunded, except where Shopify's rules or applicable law require otherwise.

4. Your responsibilities as a merchant

• You decide the discount and commission percentages and the terms you offer to partners. Those terms are between you and your partners.
• You are responsible for paying partners, for any tax or reporting obligations related to those payments, and for any agreement you sign with them.
• You must not use the App for products or promotions that are illegal, misleading, or prohibited by Shopify's policies.
• You are responsible for the discount codes the App creates in your store and for keeping your own discounts consistent with them.
• You must have a lawful basis for any personal data you ask partners to share with you.

5. Commissions and payouts

Commission is calculated on paid orders, on the merchandise total after discount and before shipping and taxes. When an order is refunded in full or in part, the commission on the refunded amount is deducted automatically, including from the next payout if the order was already paid out. Cancelled orders earn no commission, and the merchant can exclude any order from a payout. The merchant marks a payout as paid; the App does not verify the payment.

If you believe a commission was calculated incorrectly, contact us. We will check the recorded order and, if the calculation was wrong, correct the record.

6. Acceptable use

• Do not attempt to break, overload or reverse engineer the App.
• Do not use the App to send spam or to run affiliate programs for prohibited goods or services.
• Do not create fake partners or fake clicks to inflate commissions.
• Do not resell or sublicense the App.

7. Availability and changes

We work to keep the App available, but we do not guarantee uninterrupted service. Scheduled maintenance, Shopify API changes and outages of our hosting provider can interrupt it.

We may add, change or remove features. If a change materially reduces the core functionality, we will give reasonable notice to merchants.

8. Support

Support is provided by email at support@hypesoulaffiliate.com on business days. Support covers the App itself, not your store, your products or your partners.

9. Intellectual property

We own the App, its code, its name and its documentation. You get a limited, non-exclusive, non-transferable right to use the App while your subscription is active. Your data stays yours.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of revenue or loss of data, or for the acts of Shopify, your partners or your customers. Our total liability for any claim relating to the App is limited to the fees you paid us in the six months before the claim arose.

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.

11. Termination

You can stop using the App at any time by uninstalling it in your Shopify admin. We may suspend or terminate access if you materially breach these Terms, if we are required to by law, or if we discontinue the App with reasonable notice.

After uninstallation we delete your shop data as described in the Privacy Policy.

12. Governing law

These Terms are governed by the laws of the Czech Republic. Disputes are settled by the courts of the Czech Republic, unless consumer protection law gives you a mandatory forum in your country of residence.
